Terms of Sale

Effective date: 19 August 2026.

These Terms of Sale govern every purchase from Cosmic Aminos (“we”, “us”), [PLACEHOLDER — registered legal entity name and state of formation], of 8935 Nye Road, Ventura, CA 93001. By placing an order you agree to these terms, to our Research-Use Policy and to our Privacy Policy.

1. Eligibility and research-use representations

Our Research-Use Policy is incorporated into these terms by reference. The representations you make in it — that you are 21 or older, that you are a qualified researcher or purchasing on behalf of a research organisation, and that you are acquiring the products exclusively for in-vitro laboratory research and not for human or veterinary use — are material terms of this contract on which we rely in accepting your order.

You acknowledge that the products are not drugs, foods, cosmetics, dietary supplements or medical devices, are not approved by the Food and Drug Administration for any use, and are not for human or veterinary consumption.

2. Orders and acceptance

Your order is an offer to buy. A contract is formed only when we send an order confirmation or dispatch the goods, whichever is earlier. An acknowledgement of receipt is not acceptance. We may decline any order in whole or in part, at our discretion and without stating a reason, including where stock is unavailable, where pricing or product information was published in error, or where we are not satisfied as to eligibility under section 1.

3. Prices and bulk pricing

Prices are in United States dollars and exclude shipping and any applicable sales tax, which are shown at checkout. Prices may change at any time, but the price applicable to your order is the price displayed when the order is placed.

Quantity-based bulk pricing is applied automatically per line item, based on the quantity of that single product. Quantities of different products are not combined. Bulk pricing does not apply to products already on sale. The current discount ladder is shown on each product page and prevails over any other statement.

If a product is listed at an incorrect price due to a typographical, system or pricing error, we may cancel the order and refund any amount paid, even after an order confirmation has been sent.

4. Payment

Payment is taken in full at the time of order. We accept [PLACEHOLDER — list accepted payment methods once merchant account is approved]. You represent that you are authorised to use the payment method presented. We do not store full payment card details; card processing is handled by our payment processor.

5. Delivery, title and risk

We ship to United States addresses only. Shipping timeframes, delay notification and cancellation rights are set out in our Shipping Policy, which forms part of these terms.

Title to the goods passes to you on our receipt of payment in full. Risk of loss and damage passes to you on delivery to the address you supply. You are responsible for the accuracy of the delivery address and for arrangements to receive a temperature-sensitive shipment promptly.

6. Inspection and acceptance

You must inspect the goods on delivery and notify us of any shortage, transit damage, or discrepancy between the goods and the accompanying Certificate of Analysis within seven (7) days of delivery. Our Returns Policy sets out what we will do in those cases. Failure to notify within that period is acceptance of the goods.

7. Warranty

We warrant only that, at the time of dispatch, each product conforms to the specification stated on the Certificate of Analysis for its lot. That is the entire warranty we give. It runs only to you as the original purchaser, is not transferable, and does not survive any repackaging, relabelling, dilution, reconstitution or other alteration of the product.

8. Limitation of liability

Subject always to section 8.3, and to the maximum extent permitted by applicable law:

8.1 Our total aggregate liability arising out of or in connection with the sale of a product, whether in contract, tort (including negligence), strict liability or otherwise, is limited to the amount you paid for that product.

8.2 We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, research results, experimental materials, business or goodwill, arising from or connected with the products, however caused, even if we have been advised of the possibility of such loss.

8.3 Carve-outs. Nothing in these terms limits or excludes our liability for fraud or fraudulent misrepresentation, for wilful injury to the person or property of another, for any violation of law whether wilful or negligent, for death or personal injury caused by our negligence, or for any other liability which cannot lawfully be limited or excluded. The limitations in sections 8.1 and 8.2 apply only to liability for breach of contract and to duties arising under this contract, and do not purport to limit liability arising from any independent duty imposed by law.

8.4 If any part of this section is held unenforceable, that part is severed and the remainder continues in full force.

9. Indemnity

You will indemnify, defend and hold harmless Cosmic Aminos, its officers, employees, agents and suppliers against all claims, liabilities, losses, damages, fines, penalties and costs (including reasonable legal fees) arising out of or in connection with: (a) any breach by you of these terms or of the Research-Use Policy; (b) any use, handling, storage, transport, resale, transfer or disposal of a product by you or by any person to whom you supply it; (c) any administration of a product to a human being or an animal; and (d) any misrepresentation by you as to your eligibility to purchase.

This indemnity survives completion or termination of any contract between us.

10. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including supplier failure, carrier failure or delay, extreme weather, fire, flood, labour disputes, epidemic, acts of government, or interruption to payment processing or utilities.

11. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The courts located in Ventura County, California have exclusive jurisdiction over any dispute arising out of or relating to these terms, and you consent to personal jurisdiction and venue there. 12. General

• Entire agreement. These terms, together with the Research-Use Policy, Privacy Policy, Shipping Policy and Returns Policy, are the entire agreement between us and supersede any prior discussion or representation.
• No waiver. A failure to enforce any provision is not a waiver of it.
• Severability. If any provision is held invalid or unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions continue in full force.
• Assignment. You may not assign your rights under these terms without our written consent. We may assign ours on notice.
• Changes. We may amend these terms at any time. The version in force at the time you place an order governs that order.
